Viaplay Group Annual General Meeting 2023 – Viaplay Group

Viaplay Group AB (publ) (“Viaplay”) held its annual general meeting today, May 16, 2023.

The General Assembly decided to re-elect all current Board members Pernille Ehrenberg, Simon Duffy, Natalie Tiedemann, Anders Borg, Christina Schaumann and Andrew House. Furthermore, the Annual General Meeting decided to re-elect Pernelle Ehrenberg as Chair of the Board.

The Annual General Meeting approved the Income Statement and Balance Sheet as well as the Consolidated Income Statement and Consolidated Balance Sheet, and decided to transfer Viaplay’s retained earnings to a new account.

The Annual General Meeting of the Board of Directors and Managing Director decided to release from liability for the year 2022.

At the AGM, the Board informed that its proposal for the Long Term Incentive Program 2023 (“LTIP 2023”) has been withdrawn. The Board intends to come back with a new proposal for a long-term incentive program.

The annual general meeting also decided:

• By approving the compensation report for 2022,
• To determine the compensation of the board of directors and the auditor’s fees,
• For the re-election of KPMG AB as auditor for the period until the end of the annual general meeting in 2024, with Thomas Gerhardson as the responsible continuing auditor,
• To authorize the Board of Directors to decide on a new issue of B shares, warrants and/or transferable assets, and
• To authorize the Board of Directors to decide on the buyback of private shares.
